This disclosure of information was created in connection with the acquisition of all shares owned by the Company by PT Citra Anugrah Sukses Abadi (“CASA”) by PT Nusantara Prima Sukses Artha (“NPSA”) at PT Jagad Utama Lestari (“JUL”) based on the Sale and Purchase Agreement dated 31 August 2020 (hereinafter referred to as the “Transaction”). Transactions are carried out by the Company in the context of vertical restructuring of the Group of Companies.
The transaction is categorized as an Affiliated Transaction because CASA and JUL are affiliated companies of the Company (indirect ownership), and NPSA is a company controlled by the Company (direct ownership). There is also a similarity between the management of CASA, NPSA and JUL.
This disclosure of information was created in order to comply with the provisions under Regulation No.42/POJK.04/2020 concerning Affiliated Transactions and Certain Conflicts of Interest Transactions (POJK No.42 Year 2020).
